Corporate Law & Transactions in Norway

Corporate law provides the legal framework for establishing, organising, financing and developing businesses in Norway. From company formation, governance and shareholder arrangements to acquisitions, investments and reorganisations, corporate decisions require consideration of both legal requirements and commercial objectives.

Transactions bring many of these issues together. Acquisitions and disposals of companies and businesses, minority investments, joint ventures, mergers, demergers and other structural changes may involve transaction structuring, legal due diligence, contractual risk allocation, corporate approvals and completion mechanics.

Corporate decisions and transactions often also involve matters extending beyond company law. Financing, contracts, regulatory requirements, employment matters, insolvency considerations and potential disputes may all affect how a transaction or corporate measure should be structured and implemented.
